Sale of Fol-Pol to United Flexibles

Cadenive acted as exclusive M&A advisor to Fol-Pol sp. z o.o. in its sale to United Flexibles, a portfolio company of TEP Capital.

United Flexibles acquired 100% of the shares in Fol-Pol in a transaction that represents another step in the group's buy-and-build strategy in the Polish flexible packaging sector. The acquisition strengthens United Flexibles' production base and broadens its product portfolio, complementing the capabilities of the group's existing businesses, Nicator Films and ELA Wyrób Folii i Opakowań. Following closing, Fol-Pol will continue to operate under its existing management as part of United Flexibles' growing regional platform.

Fol-Pol sp. z o.o. is a Polish manufacturer of polyethylene films and plastic packaging, founded in 1994 and headquartered in Kutno, Łódź region. The company produces a broad range of one- to five-layer films and packaging solutions, including proprietary antibacterial and pharmaceutical-grade products. Its customer base spans Poland and multiple European markets.

United Flexibles is a flexible packaging group headquartered in Warsaw and owned by TEP Capital, a Polish private equity firm. Formed through the consolidation of Nicator Films, ELA Wyrób Folii i Opakowań, and Fol-Pol, the group operates across the full range of flexible film and packaging products and aims to become a regional leader through continued acquisitions and operational improvement.
