Acquisition of RT-Plast by Lamela

Cadenive acted as exclusive financial advisor to Lamela Sp. z o.o. in the acquisition of an Organised Part of the Enterprise (OPE) in RT-Plast Sp. z o.o. The transaction closed on 27 January 2026. The deal supports Lamela's growth strategy by expanding injection moulding production capacity, broadening the product portfolio and providing access to new customer segments, reinforcing the Company's market position in Poland and Central Europe. Post-closing, the integration of RT-Plast's modern manufacturing capabilities is expected to generate operational synergies across the combined production platform and strengthen Lamela's end-to-end offering from design through to series production.

Lamela is a Polish family-owned producer of planters, flower pots, balcony boxes and home accessories, founded in 1986 and headquartered in Łowicz. The Company employs over 300 people, offers a portfolio of approximately 200 products - including three eco-friendly lines (eco recycled, eco wood and eco coffee) - and supplies major international retailers including IKEA, holding ISO 9001, ISO 14001 and PN-N-18001 certifications.

RT-Plast Sp. z o.o. is a Polish manufacturer of injection-moulded plastic components, founded in 2012 and based in Koronowo, near Bydgoszcz. The Company operates a modern machine park with injection moulding machines ranging from 55 to 850 tons of clamping force, supported by robots and automation, and offers comprehensive services from concept design and 3D prototyping through to series production, pad printing and assembly.
